The aim is to deduce their main obligations in the prototypical operations of mergers and acquisitions, from the general duties imposed on them by the legal system. Both the obligations imposed on them by the general Spanish Law of Contracts as well as the specific obligations imposed on them by Spanish Company Law will be considered. The purpose, therefore, is to determine the conduct expected of company directors in the development of this type of business, as well as to determine the way in which their main duties of diligence and loyalty may be shaped, completed or determined by the specific particularities which, at a phenomenological level, characterize the main M&A operations.
