AB - Mergers are the corporate restructuring operations that banks most frequently undertake within the Banking Union. To complete a merger, these entities must follow a procedure determined by corporate law regulations. At the same time, banks, in their capacity as credit institutions, must comply with the regulatory requirements specific to banking activities and adhere to the prudential control mechanisms established by European banking law and national law in order to protect financial stability. This thesis conducts a comprehensive study of the mergers carried out by banks subject to the Single Supervisory Mechanism, encompassing both the public and private legal regimes. After analyzing the importance of these operations in the European banking sector, the thesis first examines the function and concept of banking mergers. It then addresses the authorization system for the operation and the criteria by which the banking supervisory authority evaluates and authorizes (or denies) the merger. Finally, the thesis examines the scope and effectiveness of the protective instruments designed by corporate law to safeguard the interests of shareholders and creditors in these operations, considering the impact that public regulation aimed at protecting general interests may have on them
