Board Changes

The Board of Directors of the Company announces that Mr. Peter Bayard Moss has been appointed as a non-executive director of the Company with immediate effect. Additionally, Mr. Moss will join the Company’s Audit, Remuneration and Nomination Committees. Concurrently, Mr. Shahed Mahmood has resigned as a non-executive director for personal reasons, due to the extent of his other commitments, also with immediate effect.

Mr. Moss, aged 47 joins the Board with a financial and investment background having held senior positions in equity and derivative sales at Dresdner Kleinwort Wasserstein and Donaldson Lufkin Jenrette. Mr. Moss is currently a senior executive with Christopher Street Capital, a subsidiary of NASDAQ listed GFI Group.

Mr. Moss already serves as a non-executive director of the Company’s FSA regulated UK subsidiary company, Crosby Capital Partners Limited. Apart from being a non-executive director of Crosby Capital Partners Limited, Mr. Moss does not currently hold any other directorships and has not held any other company directorships in the last five years. No further details fall to be disclosed relating to Mr. Moss pursuant to Schedule 2(g) of the AIM Rules.

Commenting on the changes to the Board Simon Fry, Chief Executive Officer of Crosby, said “I am delighted to welcome Peter Moss to the Board. He brings with him many years of experience in the financial markets and a vast array of contacts that will be beneficial to Crosby as it continues its expansion.”

He added “I would also like to take this opportunity, on behalf of my fellow directors, to warmly thank Shahed Mahmood for his valuable contribution to Crosby. As a founding director of Skiddaw Capital Inc., Shahed’s period as a director coincided with a very exciting period of the Company’s growth. We wish him every success in his future endeavours and are grateful to him for his efforts on behalf of the Group.”

Change in Company’s Share Capital, and change in Techpacific’s ownership of shares in the Company

The Company was notified today that Techpacific Capital Limited (“Techpacific”) yesterday placed 1,521,000 ordinary shares of US$0.01 each (“Ordinary Shares”) on behalf of itself and 3,750,000 Ordinary Shares on behalf of Mr Shahed Mahmood as part of a stock borrowing arrangement. In each case, the Ordinary Shares placed by Techpacific were placed at a price of 62 pence per share. The Company has been notified that Mr Mahmood’s holding of 3,750,000 Ordinary Shares arises from the exercise of his options to purchase 3,750,000 new Ordinary Shares at a price of 6 pence per share.

As a result of Techpacific’s sale of shares and stock borrowing arrangement with Mr Mahmood, Techpacific’s shareholding now stands at 197,153,689 Ordinary Shares which represents 82.37% of the issued and outstanding Ordinary Shares of the Company as enlarged by the issue of new Ordinary Shares to satisfy Mr Mahmood’s option exercise. As a result of Mr Mahmood’s exercise of options and stock lending arrangement with Techpacific, Mr. Mahmood has no interest in ordinary shares or options of the Company.

The Company has also applied today to the London Stock Exchange for the admission to trading on AIM of 3,750,000 new Ordinary Shares that have been issued following the exercise by Mr. Shahed Mahmood of his options. The new Ordinary Shares will rank pari passu with the existing issued and outstanding Ordinary Shares of the Company, and it is expected that admission will become effective on 31 August 2005. The total number of issued and outstanding Ordinary Shares of the Company will be 239,350,000 after the issuance of the new Ordinary Shares.

Mr. Johnny Chan, Chief Executive Officer of Techpacific Capital commented “as the majority shareholder of Crosby Capital Partners we are delighted that we have been able to facilitate the investment into the company of a small number of very significant and reputable institutional shareholders. Since the time that we completed the RTO with Skiddaw last year, the minority shareholders of Crosby have changed in nature from being predominantly smaller and retail in nature, to now being predominantly institutional. This reflects the progress that has taken place in Crosby, and the enthusiasm that exists for the future of the Company”.
