A $9 Billion Reason Why GE Vernova Stock Is Down Today

Trade GEV on Coinbase

GE Vernova (GEV) shares slipped on Oct. 28 as the company's planned $9 billion acquisition of Trench Group brought the cost of expansion into focus. The high-voltage equipment deal accompanied GEV's strong quarterly results and raised guidance, leaving investors weighing growth against the acquisition risk.

At the time of writing, GE Vernova stock is up about 30% versus the start of this year.

Significance of the Trench Deal for GE Vernova Stock

GEV agreed to acquire Trench from Triton Partners for $9 billion, with funding expected to come equally from cash and debt. Closing is anticipated in late 2027, subject to regulatory approvals.

The bearish implication centers on the financial commitment: $4.5 billion of additional borrowing introduces interest costs, while integration adds execution risk.

The valuation represents 13x Trench's projected 2028 adjusted EBITDA before synergies, making future performance crucial to justifying the investment.

While Trench Group strengthens GE Vernova's grid-equipment offering, these risks offer a plausible explanation for today's decline in GEV shares.

Should You Buy the Dip in GEV Shares?

Oppenheimer analysts believe today's dip in GE Vernova shares represents a buying opportunity for long-term investors. In a bullish reiteration on Oct. 28, they maintained the company at "Outperform" and raised their price target to $1,375, indicating potential upside of more than 60% from current levels.

According to the investment firm, GEV is growing its share in the data center power infrastructure market, and that's translating into improved pricing power.

Its Q3 earnings provide fresh support for that thesis: GE Vernova's backlog reached a whopping $197 billion, and management raised its 2026 revenue guidance to at least $46.5 billion.

In each of the previous two years, GEV closed the final three months in the green, a seasonal pattern that makes it even more attractive for the near term.

How Wall Street Recommends Playing GE Vernova

Other Wall Street firms also agree with Oppenheimer's bullish view on GE Vernova heading into 2027.

The consensus rating on GEV sits at "Strong Buy" currently, with the mean price target of roughly $1,219 signaling potential for a more than 45% rally from here.
