  • EUROPE: outperformance supported by Seating and Electronics

In Europe, sales advanced by 4.1% on an organic basis, representing an outperformance of 390 basis points. This was driven by solid activity at Seating and double-digit growth in Electronics.

  • NORTH AMERICA: outperformance essentially driven by Clean Mobility

Organic sales were slightly up 0.4% in Q3, representing an outperformance of 510 basis points. This was primarily driven by a strong activity of Clean Mobility, as well as continued expansion of Clarion.

  • CHINA: progress with Chinese OEMs reduced underperformance compared to H1

Organic sales declined by 17.2% in Q3, reflecting continued weakness in production among international OEMs. At the same time, FORVIA saw encouraging progress with Chinese OEMs, notably supported by the recovery in BYD production and continued growth with Chery.

  • Rest of ASIA: continued strong momentum

FORVIA sustained the first-half trajectory with 13.6% organic growth, supported by continued success of Clarion.

DISCIPLINED EXECUTION IN A CHALLENGING MARKET ENVIRONMENT

In a challenging environment marked by persistent cost inflation and supply chain pressures, FORVIA maintained strong operational discipline and continued to execute on its key performance improvement initiatives.

The Group remained focused on:

Offsetting cost inflation(raw materials, energy, memory chips and PCBs) through supply chain optimization, contractual indexation mechanisms and customer recoveries to secure appropriate compensation,

Delivering fixed cost reductionsthrough the continued execution of the EU-FORWARD and SIMPLIFY programs,

Advancing the Lighting turnaround plan, with dedicated actions across R&D, industrial performance and SG&A to progressively restore competitiveness.

FINAL STEPS TOWARDS INTERIORS CLOSING IN Q4 2026

The proposed divestiture of Interiors has reached a major milestone with the receipt of all required regulatory approvals, including clearances from all relevant antitrust authorities.

The remaining pre-closing steps continue to progress according to plan. Closing of the transaction is expected in Q4 2026.

As previously communicated, the transaction will reduce net debt by more than
€1.0 billion and gross debt by more than €1.4 billion.

The full allocation of proceeds to debt reduction will materially strengthen FORVIA's balance sheet, enabling the Group to address most of its 2027 maturities and further enhance its financial flexibility.

2026 FULL-YEAR GUIDANCE CONFIRMED

Based on S&P Mobility's October estimates, global automotive production is expected to decline by 4.2% in the fourth quarter of 2026.

Supported by its nine-month sales performance and disciplined management of costs and inflationary pressures, FORVIA confirms its full-year 2026 guidance*:

  • Salesbetween €20bn and €21bn, at constant exchange rates

  • Operating marginbetween 6.0% and 6.5% of sales

  • Net Cash flow≥3.0% of sales

  • Net debt/Adjusted EBITDAratio at 1.5x at December 31, 2026

*Based on:

  • the assumption that no material changes will occur in tariffs or trade restrictions in effect and that there is no material deterioration in the macroeconomic environment or significant supply chain disruptions

  • 2025 average exchange rates: EUR/USD = 1.13, EUR/CNY = 8.11

PRELIMINARY STATEMENT ON INTERIORS DIVESTMENT (IFRS5)

On February 24, 2026, FORVIA announced its intention to divest its Interiors business. Subsequently, on April 26, 2026, the Group signed a definitive agreement with Apollo, subject to customary regulatory approvals and closing conditions.

In accordance with IFRS5 requirements, the Interiors business has been classified as a discontinued operation since December 31, 2025. Consequently, the assets and liabilities related to the business were reported as held for sale as of June 30, 2026.

As a result, the financial performance of the Interiors business is presented separately from continuing operations in the Group's consolidated financial statements for the first half of 2026 and comparative periods.

To facilitate the assessment of the Group's underlying financial performance and balance sheet trajectory, FORVIA also provides selected indicators, notably net debt and leverage, on a pre-IFRS5 basis, as the expected proceeds from the transaction are not reflected in IFRS5 net debt figures prior to closing.

DEFINITIONS OF TERMS USED IN THIS DOCUMENT

  • Taxes.

  • Net result from discontinued operations

Adjusted EBITDA

In compliance with the ESMA (European Securities and Markets Authority) regulation, the term "Adjusted EBITDA" has been used since January 1, 2022.
