For anyone holding Tesla( NASDAQ:TSLA ), the key question is what happens if Elon Musk's two largest companies become one. The stock closed up 4% at $407 on Tuesday. Below I cover what a combination with SpaceX( NASDAQ:SPCX ) could mean for your shares, who is skeptical, and the one event I'm watching.
Tesla rose 4% on October 27 and closed at $407.46. Part of the lift came from ARK Invest, which repeated its $4,400 long-term target built on its robotaxi thesis. In Wednesday premarket trading, shares were roughly flat, up about 0.5% at $409.38.
Merger Talk Has Reached the Boardroom
Speculation has been building for days. On SpaceX's call, Musk said both companies had formed special committees of independent directors "at the request of shareholders." He also said:
"Do I think it would be a good idea? Yes."
He added that "the special committees have not reached agreement on the terms of any transaction." Tesla would need "a 50% vote of all shares," a bar Musk called "quite a high hurdle." Even so, Barclays( NYSE:BCS ) upgraded Tesla on October 26 and called a merger a key part of the bull case.

SpaceX is the bigger partner. Its market cap is about $1.96T, against roughly $1.61T for Tesla. SpaceX shares were up 1% before the open.
Why Skeptics Call It a Rescue
Scott Galloway described Tesla as the "patient" and SpaceX as its "organ donor," calling the deal a "real merger with a fake premise."
His worry is that SpaceX's growth could be used to hold up Tesla's valuation. SpaceX's AI division revenue grew 830% to $7.60B last quarter. Over the same period, Tesla's GAAP operating income fell to $718M, and the stock trades at a P/E near 424. The two companies are already linked. On Tesla's call, the CFO said net income took a $142 million mark-to-market hit on its SpaceX holding.
Wall Street's Merger Premium Math
A merger premium is the extra amount a buyer pays above the current share price to win a shareholder vote. Stocktwits quoted one investor who argued no premium is needed but suggested $500 as a way to win over unhappy holders. Yahoo Finance reported premium math from JPMorgan( NYSE:JPM ) puts the stock near $500, matching the figure Stocktwits reported. These are estimates. Nobody has made an offer.
On one prediction market, traders put the chance of a merger being announced by June 30, 2027 at 52%.
What It Means for Your Shares
If you own Tesla for retirement, I see three paths:
-
A deal with a premium:You would probably receive SpaceX stock worth more than today's price, but you would have less voting influence.
-
A deal without a premium:You would swap into a faster-growing company at no markup, and you would carry SpaceX's heavy spending on computing power.
-
No deal:Tesla has to win on its own, competing against Waymo, the robotaxi unit of Alphabet( NASDAQ:GOOG ).
I've owned Alphabet since April 2012, so I watch this robotaxi race closely. Tesla's independent case is real. It has 1.74 million active FSD subscriptions, and its CFO expects robotaxi to be "a significant part of our revenue and profitability in '27." ARK's target is one firm's long-range view.
My Take and the Signal That Matters
Merger talk drove part of Tuesday's 4% gain, and I think a combination happens eventually because the two companies already share capital and a CEO. If you would hold Tesla even without SpaceX, short-term moves matter less. If you own it for the deal, risk rises significantly, and that is the kind of position that belongs in the small portion of a portfolio with real rules around it (we wrote a free guide on exactly that here: Small Stakes, Big Swings). The trigger is a formal proposal from the special committees with an exchange ratio. Until that exists, the premium figures from Stocktwits and JPMorgan are just opinions.
