Vanke Seeks Bond Extension With 40% Upfront Repayment as $11B Maturities Loom

China Vanke ( CHVKF ) is back at the negotiating table, and the message is familiar: buy time, preserve liquidity, and avoid a tipping point. The developer has approached bondholders with a proposal to extend a yuan bond due April 23, offering to repay 40% of principal upfront while pushing out the remainder, according to people familiar with the matter. The structure mirrors earlier extension proposals on three other bonds, suggesting that funding pressures have not eased. For the plan to move forward, Vanke would need approval from more than 90% of noteholders, with investor discussions expected to ramp up ahead of a scheduled April 17 meeting.

The timing is tight, and the maturity wall is building. Beyond the 2 billion yuan bond due this month, Vanke faces more than 11 billion yuan in obligations through July, including multiple onshore maturities and put options that could be exercised. Market pricing is already reflecting that strain, with the April bond last trading around 51 yuan in late March amid thin liquidity. Management is evaluating a broader set of options, including potentially extending maturities by as long as 10 years, alongside a possible tender offer and an asset-backed trust structure. None of these measures are finalized, but they could form the backbone of a wider restructuring effort if conditions remain constrained.

Underneath it all, the balance sheet is still under pressure. After posting a record 88.6 billion yuan loss last year, Vanke has spent more than two years navigating a liquidity crunch, leaning on loans from its state-owned shareholder Shenzhen Metro Group to meet obligations. At the same time, the company is managing ongoing interest payment demands and working to renegotiate loan terms, adding another layer of complexity. Management has indicated it is pursuing a longer-term debt solution and new funding channels, while also looking to local governments for potential support through land and housing transactions. The next few months could be critical as investors assess whether these measures are enough to stabilize the company's financing profile.
