Baidu ( NASDAQ:BIDU ) faces a shareholder class-action lawsuit alleging the Chinese technology giant overstated artificial intelligence's ability to offset its declining advertising business. The legal challenge adds another concern for investors already confronting disappointing financial results and a roughly 43% year-to-date stock decline.

Baidu operates China's leading internet search engine, generating revenue primarily through online advertising. It is also expanding into AI cloud infrastructure, enterprise AI applications and autonomous driving through its Apollo Go platform.

Filed September 14 in federal court in New York, the lawsuit covers investors who purchased Baidu securities between November 18, 2025, and August 17, 2026.

Plaintiffs allege management made misleading statements about AI growth prospects while failing to disclose that the newer businesses could not adequately compensate for deteriorating advertising revenue.

The financial figures illustrate the concern.

Baidu's second-quarter revenue fell 4% year over year to RMB31.3 billion ($4.62 billion), while online marketing revenue declined 19%.

Its AI-powered business generated RMB12.5 billion, growing 25% annually but declining 8% sequentially.

AI cloud infrastructure revenue surged 50% year over year, suggesting meaningful demand despite the company's broader challenges.

However, that growth has yet to reverse Baidu's overall revenue contraction.

Following its August 18 earnings report, Baidu shares plunged 12.73%, reflecting investor concerns about the transition.

The lawsuit also names CEO Robin Li and CFO Haijian He. The allegations remain unproven, and the litigation's eventual financial impact is uncertain.

Investors Takeaway

November 13 is the deadline for eligible shareholders to seek appointment as lead plaintiff, although the case could take considerably longer to resolve.

Beyond legal developments, investors should focus on Baidu's next earnings report, particularly AI cloud revenue growth, advertising declines and operating cash flow.

The central question is whether AI revenue can expand quickly enough to stabilize consolidated sales.

Sustained cloud growth alongside moderating advertising losses would strengthen the investment case. Continued revenue contraction, weaker AI momentum or additional litigation developments could further undermine investor confidence.
