Roche ( RHHBY ), the Swiss pharmaceuticals and diagnostics giant, committed $75 million upfront for global rights to Simcere Pharmaceutical's experimental blood-cancer drug SIM0660. Its U.S.-quoted shares fell to $53.55 Tuesday.

The agreement hands Roche exclusive development, manufacturing and commercialization rights outside Simcere's retained markets. Another $1.455 billion could follow if SIM0660 clears development, regulatory and commercial milestones, plus tiered royalties reaching double-digit percentages. The potential is big, but the drug remains preclinical.

Roche is paying just 4.9% of the deal's maximum $1.53 billion value upfront. That keeps the early financial bet small while reserving the expensive checks for real progress. Roche generated CHF11.9 billion in core operating profit during the first half , making $75 million easy to digest. Still, the valuation picture demands attention: the $53.55 share price stands 30.01% above the $41.19 GF Value, signaling that investors are already paying a sizable premium while SIM0660 remains far from commercialization.
