ADT( NYSE:ADT ) rose 33.81% in Thursday's regular session to $9.91 as of 11:20 AM ET. The home security company agreed to be taken private by Thrive Holdings in an all-cash deal. Retirement savers who own small-cap index funds hold a piece of that move, and the more useful question for them is what the deal does inside those funds.
Seeking Alpha reported that Thrive Holdings will pay $10 per share in cash. Seeking Alpha put the total deal value, including debt, at $15.3 billion. According to Seeking Alpha, the offer is a 45.6% premium to ADT's unaffected closing price and a 52.1% premium to its 30-day volume-weighted average price. The rally started in the prior session after a report that Thrive Capital was in talks to buy ADT.
The buyer is getting a business that throws off a lot of cash. In the second quarter of 2026, ADT reported revenue of $1.312 billion, adjusted EPS of $0.23 and Adjusted Free Cash Flow of $406 million, up 48%. It then raised its full-year outlook.

Small-Cap ETFs Holding ADT Right Now
ADT joined the S&P SmallCap 600 effective Feb. 9, 2026, and that put it into the passive funds that track the index. Those funds include the iShares Core S&P Small-Cap ETF( NYSEARCA:IJR ), the Vanguard S&P Small-Cap 600 ETF( NYSEARCA:VIOO ) and the SPDR Portfolio S&P 600 Small Cap ETF( NYSEARCA:SPSM ) (all S&P 600 trackers).
SPSM is the only one of the three with verified position data. Its portfolio filing dated June 30, 2026 lists 5,198,129 ADT shares worth about $33.8 million. That was 0.1997% of the fund's roughly $16.9 billion in net assets. We could not get current ADT weights for IJR or VIOO from holdings data, so we have not estimated them. Both funds are cheap to own: IJR charges 0.06% a year and VIOO charges 0.07%.
Why a 34% Jump Barely Moves Your Fund
What one stock adds to a fund's return is its weight times its move. At SPSM's June 30 weight, ADT's gain adds about 0.07 percentage points to the fund's return today. The other several hundred holdings decide whether the fund ends the day up or down.
That is diversification doing its job. A position this small can't make a portfolio, and it can't sink one either. Investors may hold ADT more than once through the overlap. That happens when they own an S&P 600 fund alongside a total-market or Russell-based small-cap fund. Added together, those positions are still a tiny share of a typical retirement account.
What Happens When ADT Leaves the Index
If the deal closes, ADT stops trading and drops out of every index it belongs to, and funds that hold it are paid $10 in cash per share as the position disappears from their portfolios. At SPSM's June 30 share count, that comes to about $52 million. Index funds put the cash back to work when S&P names a replacement stock, so shareholders don't have to do anything.
Why ADT Trades Just Below $10
At $9.91, the stock sits about 0.9% below the cash offer. That small gap is what the market charges for waiting. Buyers today have money tied up until the deal closes. They also carry the risk that it falls apart and the stock slides back toward where it traded before the deal. The narrower the gap, the more confident the market is that the deal closes.
Deal Still Has Hurdles to Clear
Several steps remain before closing:
-
ADT shareholders have to approve the deal.
-
U.S. antitrust regulators have to clear it.
-
The deal has no financing condition. Affiliates of Apollo Global Management( NYSE:APO ) have provided financing commitments.
-
ADT has a go-shop window to look for competing offers and can end the agreement for a superior proposal.
Shareholder law firm Halper Sadeh said it is investigating whether shareholders are getting a fair price. Firms announce probes like this after nearly every buyout, and they rarely change the result.
Key Triggers to Monitor From Here
The go-shop window is the first real test. If ADT trades above $10, the market expects a rival bid, while if the gap to $10 widens a lot, traders are starting to doubt the deal will close. After that come the shareholder vote and antitrust clearance, and each one cuts the risk that remains. For S&P 600 fund holders, closing turns ADT into cash and swaps in a new index member, with almost no effect on long-term returns.
