On its third-quarter 2026 earnings call, held on Oct. 26, 2026, Clearwater Paper(NYSE:CLW) announced a major debt refinancing that pushes principal debt maturities out five years to 2031. Operating cash flows and asset health dictate whether the business can comfortably handle its ongoing mill repair expenses and industry price swings.
Three things management said stand out.
1. Augusta Mill Repairs Force Extra Capital Expenditures
The paperboard maker bought its Augusta mill based on inaccurate seller representations that masked equipment defects in the pulp and power units. Resolving these operational breakdowns will require $19 million to $25 million in total direct maintenance outage costs throughout 2027.
Looking ahead, we will need to invest additional capital dollars in the mill to address asset conditions that were not easily identifiable through a typical diligence process and were not accurately represented to us during the sale.
-- Arsen Kitch, President and Chief Executive Officer
2. Low-Cost Strategy Expands Coated Unbleached Kraft Paperboard Market Reach
Management designed a low-capital alternative to expand production of coated unbleached kraft (CUK), a heavy-duty packaging material, without spending $60 million on full mill modifications. The $3 million to $5 million project lets the Cypress Bend mill swing between paperboard grades to target up to 30% of independent converter demand.
We're pursuing a lower cost capital alternative of approximately $3 million to $5 million. This alternative should provide us with sufficient capacity to establish a meaningful position with independent converter customers.
-- Arsen Kitch, President and Chief Executive Officer
3. Debt Refinancing Extends Maturities to 2031 and Reduces Liquidity Risk
The business replaced its existing credit agreements with a new $275 million term loan and a $200 million revolving facility, an open credit line for operational borrowing. Securing five additional years on principal payback pushes debt maturities to 2031 and stabilizes annual interest expense at around $25 million.
The transaction extends our maturity profile to 2031 and reduces refinancing risk, simplifies our capital structure, provides us with adequate liquidity, and establishes a stable foundation to execute our long-term strategy.
-- Sherri Baker, Senior Vice President and Chief Financial Officer
Looking Ahead
Industry operating rates are climbing past 90%, and management isn't hiding its satisfaction about recovering paperboard pricing. Flexible mill machinery and established relationships with independent packaging converters give the business room to expand its market footprint, while leadership tracks pricing discipline and raw material inflation.
We remain confident that the industry cycle will recover, and we will return to our cross-cycle target of adjusted EBITDA margins of 13% to 14% with more than $100 million of annual free cash flow.
-- Arsen Kitch, President and Chief Executive Officer
Outgoing chief financial officer Sherri Baker highlighted the underlying stability established through recent refinancing and operational adjustments.
I remain confident in Clearwater's ability to execute a strategy for growth and value creation, and I look forward to following the company's progress in the years ahead.
-- Sherri Baker, Senior Vice President and Chief Financial Officer
