HDFC Bank ( NYSE:HDB ), India's largest private-sector lender by assets, dropped approximately 2.5% to $22.505 in U.S. trading Monday after Chief Executive Sashidhar Jagdishan ruled out a third term. The Mumbai-listed shares sank 1.6% to a 30-month closing low. Investors did not wait for the succession plan. They hit sell.

Jagdishan exits when his term ends in late October, leaving the board scrambling to accelerate its CEO search. The timing is ugly. Governance questions have already rattled confidence, while the stock has lost approximately 28.5% in 2026. An external legal review found no evidence supporting concerns raised by the former chairman, but the damage to market sentiment is proving harder to erase.

The bank itself is still making money. First-quarter results showed net interest income rising 6.7% to 335.3 billion rupees and standalone profit climbing roughly 5%. But a 3.26% net interest margin and sluggish post-merger returns are not enough for impatient investors. The valuation picture captures the frustration: HDFC Bank trades 26.96% below its $30.81 GF Value estimate. That looks cheapbut until the board names a credible successor and returns improve, the discount may stick.
