Kenvue Is Leaving the S&P 500: Here’s What It Means for Investors

Quick Read

  • Kenvue exits the S&P 500 on November 4, 2026, replaced by Okta, after Kimberly-Clark agreed to acquire it for $3.50 cash plus stock.

  • Okta, already up 136% year to date before the announcement, must now be bought by every fund tracking the S&P 500.

  • Kenvue shareholders should watch Kimberly-Clark's first post-closing dividend: a cut to the $1.28 quarterly payout would undercut the income case for staying on.

S&P Dow Jones Indices announced on October 30, 2026, that Okta( NASDAQ:OKTA ) will replace Kenvue( NYSE:KVUE ) in the S&P 500 effective before the open of trading on Wednesday, November 4, 2026. Kenvue is leaving because it is being acquired by Kimberly-Clark. S&P 500 member Kimberly-Clark( NASDAQ:KMB ) is acquiring it in a deal S&P said is "expected to be completed soon, pending final closing conditions."

Kenvue makes Tylenol, Neutrogena, Listerine, and BAND-AID Brand products. Its stock opened November at $19.99 per share, not far off a 52-week high of $20.13. Okta was last seen trading at $195.13 and Kimberly-Clark at $109.99. Those are small moves for a change tied to a previously announced deal.

The 60% rule is applied here to a premium Kimberly-Clark product in an executive setting, signifying the 'takeover' or acquisition theme through material luxury and brand presence rather than literal metaphors.

What Is Locked In and What Is Still Pending

The index change and its effective date are confirmed. Kimberly-Clark and Kenvue said in their November 3, 2025, announcement that Kenvue holders will receive $3.50 in cash plus 0.14625 Kimberly-Clark shares for each Kenvue share held at closing, a package the companies valued at $21.01 per share, based on Kimberly-Clark's October 31, 2025, closing price. The stock part rises and falls with Kimberly-Clark's share price, so the value at closing will differ. After closing, the companies expect current Kimberly-Clark holders to own about 54% of the combined company and Kenvue holders about 46%.

On October 13, 2026, Kimberly-Clark announced successful consent solicitations for Kenvue's notes (bondholders agreeing to amend their terms) and changed the terms of its exchange offers. While the deal is pending, Kenvue is not providing guidance or hosting a quarterly conference call.

Final closing conditions are pending. No closing date has been announced. The original target was the second half of 2026.

How Each Group of Shareholders Is Affected

Kenvue

Shareholders have nothing to do on November 4. The index change leaves your shares untouched. At closing, they convert to cash plus Kimberly-Clark stock. Kenvue's latest quarterly dividend was $0.21 per share. Kimberly-Clark's was $1.28. Once the deal closes, your dividend income will come from the Kimberly-Clark shares. Kenvue posted organic sales growth of 2.9% in its latest quarter.

Kimberly-Clark

Kimberly-Clark stays in the S&P 500 and takes on Kenvue's brands. Its stock is up 7.5% year to date.

Okta

Okta moves up from the S&P MidCap 400, which means funds that track the S&P 500 have to buy its shares. The stock is up 136.0% year to date, a gain that came before the index announcement. Glaukos( NYSE:GKOS ) takes Okta's place in the MidCap 400, and McGrath RentCorp( NASDAQ:MGRC ) replaces Glaukos in the S&P SmallCap 600.

S&P 500 Index Fund Holders

The fund sells Kenvue and buys Okta, and holders keep indirect exposure to Kenvue's brands through Kimberly-Clark. A consumer staples company leaves and an information technology company joins, which changes the index's sector mix slightly toward tech.

Reasons to Stay Skeptical

S&P's announcement did not provide a closing date. Part of the price is paid in stock, so the deal's value changes every day Kimberly-Clark trades. Index funds have to sell Kenvue, but individual holders are not required to sell anything.

What Should Kenvue Shareholders Watch Now?

Monitor Kimberly-Clark's stock price. From here, Kenvue mostly tracks the deal terms. The index exit does not change the terms of your holdings. Watch for two specific events: the announcement that the deal has closed, and Kimberly-Clark's first dividend declaration after closing. If the board holds the $1.28 quarterly payout or raises it, the income case for Kenvue holders who stay on as Kimberly-Clark shareholders holds up. A cut would undercut that case.
