Late on October 28, 2026, Bloomberg reported that Marvell Technology( NASDAQ:MRVL ) is near a deal to buy Lumentum Holdings( NASDAQ:LITE ) in an AI push. This is a reported deal. Nothing has been signed or announced. The companies have yet to disclose a price, a per-share offer or a structure.
The first reaction was lopsided. In premarket trading on October 29, Marvell fell about 11% to $222.81. Lumentum rose about 5% to $961.90. The buyer fell further than the target rose.
What Has Been Reported and What Hasn't
Reuters cited a source who said the companies are in advanced talks, with a deal that could be announced as soon as next week after its October 28 report. Reuters' requests for comment went unanswered by both companies. No press release, no 8-K (the form companies file with the SEC to disclose major events) and no board statement exists.
Lumentum makes lasers and optical modules that turn electrical signals into light, so data can move between chips, racks and buildings. Copper does that job well over short distances. As AI systems get bigger, it hits limits. On the August 27 earnings call, Matt Murphy, Marvell's chairman and CEO at the time, said "the reach and bandwidth limitations of copper are increasingly driving customers towards optical interconnects."

Who Gains and Who Pays
For Marvell, the price tag is the worry. Lumentum is worth about $82.8B, against Marvell's around $220.7B. Marvell had about $3.92 billion in cash, and Bernstein analysts said a deal that size would likely need more financing and could be hard to integrate. That points to new debt, new shares or both. Marvell designs chips but doesn't make them. Lumentum owns laser factories, so Marvell would own its light supply instead of buying it from others.
For Lumentum holders, the pop remains a paper gain until a deal is signed. The business is booming: quarterly revenue reached $1.01B, up 109.3%. But an unsigned deal can fall apart, and a signed one still faces regulatory review.
Coherent( NYSE:COHR ), the other major optical supplier, slipped about 1% before the open.
Copper Isn't Going Quietly
Murphy also said the move from copper to optics "is expected to take several years, with both technologies coexisting." Lumentum's Wupen Yuen pointed to "broad momentum toward a 2028 ramp of NPO and CPO" (near-packaged and co-packaged optics, which put the light source right next to the chip). Marvell would be paying now for a ramp that mostly comes later.
Both stocks also came in hot. Marvell is up 163% year to date and Lumentum 161%. The reports left out the most important details: the premium, the mix of cash and stock, any breakup fee, and whether Lumentum's board has agreed.
Is Marvell Overpaying for Light?
I've owned NVIDIA( NASDAQ:NVDA ) for more than 15 years and watched the AI constraint move from computing power to memory to connectivity. I don't own Marvell, Lumentum or Coherent. My read: the strategy makes sense, and the selloff also makes sense until terms show up. Owning the laser fab is how you avoid paying rent on the rarest part of the optical stack. Paying for it with a stock that has already run hard leaves existing holders carrying the dilution.
Here's what to check. If a signed agreement and 8-K don't appear by November 13, 2026, I'd consider Lumentum's gain thin. If terms are filed and Marvell gets back above its $251.65 October 28 close, the market has accepted the price of light over copper.
