Midnight Sun Mining Corp ( TSX-V:MMA , OTCQB:MDNGF ) has appointed Brett Richards as chairman of its board and nominated two independent directors for election at its December 4 annual general meeting, as the company advances its flagship Dumbwa copper deposit in Zambia.

Richards, who has served on the board since August 2017, takes on the role with immediate effect. He brings more than 35 years of experience in the mining and metals industry, including around three decades focused primarily on Africa, with expertise spanning exploration, mine development, construction, operations and strategic exits.

Midnight Sun has nominated Andrew Neale and Caroline Cathcart as independent candidates for election at the AGM.

Neale has more than 40 years of international mining experience and previously held overall operational responsibility for Indonesia's Grasberg mine, one of the world's largest copper and gold operations. He also led the due diligence team that exposed the Bre-X gold fraud. Neale currently serves as CEO of CopAur Minerals.

Cathcart brings more than 30 years of experience in resource-sector investing, portfolio management and governance. She previously served as chief administrative and legal officer at investment manager RPIA and is a director of Eloro Resources.

If elected, Neale and Cathcart would join independent directors Rick Mazur and Wayne Moorhouse, alongside Richards and Midnight Sun President and CEO Al Fabbro.

The company has also adopted an advance notice policy to establish a clear process for shareholders seeking to nominate directors. Midnight Sun plans to seek shareholder approval to incorporate similar provisions into its articles.

The board changes come as Midnight Sun continues to advance its exploration interests, with the Dumbwa copper deposit forming a central part of its development plans.
