Investing.com -- Moody's Ratings downgraded Cogent Communications Holdings Inc's (NASDAQ:CCOI) Corporate Family Rating by three notches to Caa2 from B2 on Wednesday, citing deteriorating liquidity and mounting refinancing risks ahead of a critical debt wall. The agency also lowered its speculative-grade liquidity score to SGL-4 and revised its outlook to negative, pointing to the looming June 2027 maturity of the company's senior unsecured notes as an immediate pressure point.
The downgrade underscores growing governance and balance-sheet scrutiny after management deferred refinancing efforts during a period of tightening credit market conditions. Debt to EBITDA stood at roughly 10x for the twelve months ended June 30, though pro forma leverage moderates to about 6.7x when factoring in debt repurchases from recent data center asset sales and contractual payments from T-Mobile.
Cash flow generation faces continued headwinds as capital expenditures remain elevated due to rising equipment prices, extended vendor lead times, and persistently soft corporate office demand, according to Moody's. Meanwhile, execution within Cogent's core wavelength growth engine has lagged original projections as broader data center power bottlenecks and supply-chain delays prevent customers from accepting newly installed circuits.
Even so, the telecommunications provider retains meaningful strategic levers, Moody's noted, underpinned by its position as one of the world's largest internet traffic carriers and supported by rising transit volumes tied to artificial intelligence demand. Liquidity is further insulated by predictable cash installments through 2027 from the T-Mobile transit agreement, alongside potential monetization opportunities across an unleased inventory of dark fiber, IPv4 addresses, and 14 remaining data centers held for sale.
Ultimately, the negative outlook reflects the risk that Cogent may be forced into a distressed debt exchange or restructuring to resolve its upcoming debt maturity. While the company is actively engaging prospective investors to secure fresh financing, Moody's indicated that further downgrades could follow if liquidity erodes faster than expected or creditor recovery prospects deteriorate.
