Q3 adjusted EBITDA rose 16% to $67 million, while free cash flow reached $46 million. About $17 million of EBITDA benefited from the timing of EU emissions allowances; Orion said year-to-date EBITDA of $171 million better reflects performance.
-
Specialty and Rubber Carbon Black adjusted EBITDA increased 18% and 15%, respectively, despite lower segment volumes. Orion expects a subdued fourth quarter due to seasonality and plant turnaround costs, but raised the midpoint of its full-year EBITDA guidance.
-
Orion ended the quarter with $918 million in net debt and a 4.1x leverage ratio, down from 4.4x the prior quarter, and said debt reduction remains its top financial priority. It reaffirmed its free cash flow outlook and expects positive free cash flow in 2027.

Orion (NYSE:OEC) reported higher third-quarter adjusted earnings and generated $46 million in free cash flow, but executives cautioned that the timing of European emissions allowances provided a significant boost to the quarter's results.
The company posted adjusted EBITDA of $67 million, up 16% from a year earlier. Chief Financial Officer Jon Puckett said approximately $17 million of the benefit was pulled into the quarter because the annual EU allowances were recognized when they were received, rather than spread throughout the year.

Chief Executive Officer Corning Painter said the allowances had been delayed because the EU missed its deadline to establish new industry benchmarks. He pointed to Orion's year-to-date adjusted EBITDA of $171 million as a clearer measure of performance, since it largely balances the third-quarter benefit against the absence of the credits earlier in the year.
Orion raised the midpoint of its full-year adjusted EBITDA guidance and reaffirmed its free cash flow outlook. Executives said they expect adjusted EBITDA to rise and free cash flow to remain positive in 2027, although the company said it was too early to issue formal guidance for next year.

Puckett said third-quarter adjusted EBITDA would have been closer to $50 million if the annual emissions allowance benefit had been recognized more evenly throughout the year. On that basis, first-half adjusted EBITDA would have been about $10 million higher, while implied fourth-quarter guidance would have been about $5 million higher, he said.
The timing difference did not materially affect year-to-date adjusted EBITDA and had no impact on free cash flow metrics, Puckett said. He added that approximately 30% of the $17 million timing impact was in the Specialty segment and 70% was in Rubber Carbon Black.

Specialty adjusted EBITDA increased 18% to $25 million, helped by a favorable product mix, including premium grades used in coatings and wire and cable. Volumes declined 8% from a year earlier, with demand weakening in Western regions, particularly in polymers and distribution channels, Puckett said.
For the first nine months, Specialty adjusted EBITDA was nearly $92 million, up approximately $25 million, or 37%, from a year earlier. Puckett attributed much of the improvement to product mix and raw-material pass-through effects.
Rubber Carbon Black adjusted EBITDA rose 15% to $41 million. Emissions allowance timing and the pass-through effect of higher raw-material costs more than offset lower annual contract pricing and an unfavorable regional mix, Puckett said. Segment volumes fell 4% year over year, as declines in the Americas and Asia-Pacific more than offset slightly higher demand in Europe, the Middle East and Africa.
Executives expect subdued fourth-quarter results in both segments, citing seasonality and plant turnaround costs. Puckett said Orion intentionally delayed turnarounds to capitalize on stronger demand earlier in the year. About 75% of the turnaround impact is expected in Specialty and 25% in Rubber Carbon Black, he said.
Painter said customers remain cautious about holding inventory amid oil-price volatility. In response to an analyst's question, he said the anticipated weakness was not a new margin issue for Orion, while Puckett noted that lower annual Rubber Carbon Black contract pricing continued to be a factor.
Cash flow and debt reduction remain priorities
Orion ended the quarter with $918 million in net debt, $193 million in total liquidity and a net leverage ratio of 4.1 times trailing 12-month adjusted EBITDA, down from 4.4 times in the prior quarter. Puckett said generating cash to reduce debt and leverage is the company's top financial priority.
After the quarter ended, Orion monetized $27 million embedded in cross-currency and interest-rate swaps associated with its European term loans, Puckett said. The company also remains on track for $90 million in capital spending in 2026, a reduction of $70 million from the prior year.
Painter said initiatives involving feedstock sourcing, plant reliability, payment terms and lower inventory levels are intended to improve earnings and cash flow. The company expects to direct free cash flow toward debt reduction.
Executives see opportunities in 2027
Painter said Orion is pursuing higher pricing in next year's tire-industry contract discussions and could retain some volume for the spot market if customer expectations are too far apart. He said North American spot demand has largely reflected unplanned downtime at other suppliers.
Executives also pointed to declining tire imports in the United States and Europe as a potentially favorable industry development. Painter said duties are having an effect on imports, but the decline has not yet translated into a meaningful pickup in tire manufacturing, which he associated in part with inventory drawdowns.
