A cash offer for Austrian engine maker Steyr Motors is sending shares of Red Cat Holdings( NASDAQ:RCAT ) sharply higher as the drone maker moves further into propulsion. Red Cat stock is at $5.10, up 8%, after the company announced the proposal.
Meanwhile, AeroVironment( NASDAQ:AVAV ) shares are up 1%, a far smaller gain than Red Cat stock. Kratos Defense & Security Solutions( NASDAQ:KTOS ) stock is at $40.72, up 0.7%, also trailing Red Cat stock.
For a sector-level check, the Defiance Drone and Modern Warfare ETF( NYSEARCA:JEDI ) is up 7%, rising nearly as much as Red Cat stock. At the same time, the SPDR S&P 500 ETF Trust( NYSEARCA:SPY ) is up 0.6%, representing a calmer move for the broad market.
Steyr Motors Offer Targets Blue Ops Propulsion
Red Cat announced a proposed voluntary public purchase offer to acquire all outstanding shares of Steyr Motors in cash. B&C Group, Steyr Motors' anchor shareholder, has irrevocably committed to tender its shares.
The maritime push at Red Cat is already gaining traction. Blue Ops ramped to full-rate production of the Variant 7 uncrewed surface vessel. The U.S. Navy contracted with Red Cat for a Variant 7 lease and testing under the Office of Naval Research. An in-house engine supplier could expand Red Cat's propulsion stack for both the Variant 7 and its Black Widow drone.

Small military drones and uncrewed boats form Red Cat's core business, sold to the Army, Air Force, Navy, and Marine Corps. Chief Executive Jeff Thompson has stressed building an "all-domain autonomy platform" covering air, land, and sea.
Cash Reserve Backs Red Cat's Expansion
A deep cash reserve backs Red Cat as it enters the Steyr Motors process. The company finished Q2 FY2026 with $325.55 million in cash, a ample reserve against its $720.8 million market capitalization.
Red Cat's growth story carries its own execution risk. Its Q2 revenue reached $20.19 million, up 527% from a year earlier, yet it missed the $22.58 million consensus.
On the bottom line, Red Cat posted a GAAP loss of $0.26 per share, wider than the $0.17 loss analysts expected. Full-year guidance at Red Cat held steady, as the company reaffirmed its fiscal 2026 revenue target of $150 million to $180 million.
Drone ETF Keeps Pace as AeroVironment and Kratos Lag
The Defiance Drone and Modern Warfare ETF's rally stands apart from the muted gains in AeroVironment and Kratos shares. Red Cat made up 4.6% of the fund's net assets as of June 30, with AeroVironment at 3% and Kratos at 1.3%.
AeroVironment builds military drones and loitering munitions, with systems including Switchblade, Puma, and the P550, and Kratos builds jet-powered combat drones such as the Valkyrie, plus propulsion for unmanned aircraft and missiles. Engine output is a priority there too, with Kratos planning to ramp jet engine production to 3,000 units in 2027.
Demand across Red Cat, AeroVironment, and Kratos ties back to the same procurement wave, as the U.S. Department of War prioritizes affordable, mass-producible unmanned systems. Specifically, Red Cat mentions the Drone Dominance program for low-cost attributable drones as a tailwind.
Steyr Motors Offer Hinges on Shareholder Acceptance
The open variable for Red Cat is whether Steyr Motors holders tender enough shares to clear the offer's minimum acceptance threshold. Regulatory approvals are also required, and Red Cat stated the offer may not close.
The bulls can point to a deeper propulsion stack and ample cash, while the bears could observe Red Cat's revenue and earnings misses. Investors may want to keep their positions modest until more Steyr Motors holders follow B&C Group in offering.
