TNR Gold Corp (TSX-V:TNR, FRA:TNW, OTC:TRRXF) is asking shareholders to vote for its slate of board nominees ahead of a September 22 annual meeting, as it faces a campaign from dissident shareholder Jon Christian Evensen to replace the entire board.

The company said it has filed and mailed a management information circular to shareholders, urging them to use its blue proxy form to vote for nominees John Davies, Kirill Klip, Konstantin Klip and Leopold Sutton.

TNR said shareholders should disregard proxy materials distributed by or on behalf of Evensen's Eucalyptus Resources Opportunities Fund 1, LP.

The company said Evensen has criticized TNR on social media platform X under the pseudonym "Koala," using an account called "Yellow Lab Life Capital," and argued this reflects on his suitability to oversee the company. Evensen has not publicly responded to the characterization.

TNR said its board has overseen total shareholder returns of 775%, 438% and 312% over the five-, three- and one-year periods, respectively, pointing to a royalty and mineral portfolio that includes stakes in the Mariana Lithium, Los Azules, Batidero and Shotgun Gold projects, as well as an investment by Altius Minerals Corporation (TSX:ALS, OTCQX:ATUSF) .

The company said the dissident campaign is seeking to replace all four directors without offering a strategic plan, capital allocation framework or governance roadmap, and without a shareholder premium attached. TNR also said the funding sources behind the dissident campaign have not been disclosed.

The shareholder meeting is scheduled for September 22, 2026.
