In accordance with the provisions of Article 227 of Law 6/2023, of 17 March, on Securities Markets and Investment Services, Endesa, S.A. ('Endesa' or 'the Company') hereby discloses the following information:
The Company's Board of Directors, in compliance with the resolution to reduce the share capital approved under item six on the agenda of Endesa's Ordinary General Shareholders' Meeting held on 28 April 2026, has agreed to execute said capital reduction in the amount of €21,607,568.40, through the cancellation of 18,006,307 treasury shares, with a nominal value of €1.20 each, acquired in the Third and Fourth Tranche of the Share Buyback Framework Programme (Other relevant information notices with registration numbers 37196, 39512, 39026 and 41529). As a result of the cancellation of the shares, Endesa's share capital will be set at €1,228,485,892.80, represented by 1,023,738,244 shares with a nominal value of €1.20 each, all belonging to the same class and series.
The Company will proceed to execute the corresponding public deed of capital reduction and amendment of the Articles of Association for its registration in the Commercial Registry of Madrid, and will subsequently request the delisting of the cancelled shares from the Madrid, Barcelona, Bilbao, and Valencia Stock Exchanges, through the Stock Exchange Interconnection System (Continuous Market), and the subsequent deregistration of these same cancelled shares in the accounting records of 'Sociedad de Gestión de los Sistemas de Registro, Compensación y Liquidación de Valores, S.A.' (Sole-Shareholder Company) (IBERCLEAR).
