Raiffeisen Bank International (RBI) has modified the structure of its proposed acquisition of Addiko Bank, dropping plans to offload several regional businesses after regulators intervened against its partner in Serbia.

The Vienna-headquartered group had originally intended to separate Addiko's operations across Serbia, Bosnia Herzegovina, and Montenegro for transfer to Alta Group doo.

That arrangement was abandoned after Serbian authorities placed Alta Group doo's banking division into administration.

RBI confirmed in a statement that it "expects to remain owner of all Addiko's subsidiaries" should the buyout proceed to completion.

The move follows RBI's launch in April of a voluntary takeover offer for all issued and outstanding shares in rival Addiko Bank that was later improved to €26.50 per cash share, securing 94.84% of shareholder acceptance as of early November 2026.

Separately, Raiffeisen Bank has finalised the purchase of 100% of the shares in Garanti BBVA Group Romania from subsidiaries of Banco Bilbao Vizcaya Argentaria (BBVA).

The Romanian transaction will reduce the CET1 ratio of the RBI Group excluding Russia by approximately 60 basis points, scheduled to be booked in the fourth quarter of 2026.

Balance-sheet consolidation for Garanti BBVA Group Romania will take effect on 2 November 2026.

Based on first-half 2025 market shares, the addition of the business will rank Raiffeisen Bank as the third-largest lender in Romania by total assets, serving roughly 2.6 million customers.

RBI CEO Michael Höllerer said: "The acquisition of Garanti BBVA Group Romania reflects our strong and long-term commitment to Romania, one of our key markets. We are opening a new chapter in our Romanian success story. We will become the country's third-largest bank and create an even stronger platform for serving our customers and supporting Romania's continued growth."
