Blue Water Targets $490M Maha Deal To Expand Venezuela Oil Exposure

Blue Water Acquisition Corp. IV ( NASDAQ:BLUW ) is moving early to position itself in Venezuela's oil reopening, targeting an entry point that could become increasingly relevant as capital starts to return. The company is pursuing the acquisition of subsidiaries from Maha Capital AB, which holds a stake in the PetroUrdaneta joint venture in the Lake Maracaibo region. Chief Executive Officer Joseph Hernandez indicated the strategy is centered on expanding its existing footprint in Maracaibo while engaging with investors who hold oil licenses but may lack the funding to develop them. Hernandez suggested that smaller operators like Blue Water could be the ones paving the way, particularly as larger energy companies remain on the sidelines for now.

That timing could matter. More than 900 executives gathered in Caracas for a recent energy conference, pointing to rising industry interest as Venezuela begins to reopen. Blue Water's latest letter of intent follows its earlier attempt to acquire Citgo Petroleum Corp., which did not materialize but still provided the company with experience tied to Venezuelan assets. The firm raised $130 million in March through its newly organized SPAC, after previously raising $10 billion under a separate vehicle linked to the Citgo effort, and now plans to separate Maha's fintech operations from its Venezuelan oil business once the transaction is completed.

From a valuation standpoint, the deal is expected to be negotiated around Maha's equity market capitalization of roughly $490 million, based on a 14-day volume-weighted average share price of SEK 12.84. Blue Water plans to base the combined company in New York and pursue a listing on the New York Stock Exchange, which could broaden investor access to this exposure. Institutional backing from Wealthspring Capital LLC, Deltec Asset Management LLC, Truemark Investments LLC, and Principal Financial Group Inc. could support the transaction, although the pace and durability of Venezuela's reopening may remain an important variable for investors to monitor.
